By accessing or using the Dynami Movement website ("Site") or any services offered through the Site ("Services"), you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms") with MATT RICE CHIROPRACTIC INC., doing business as DYNAMI MOVEMENT THERAPY. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MATT RICE CHIROPRACTIC INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SITE OR SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF MATT RICE CHIROPRACTIC INC. HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL MATT RICE CHIROPRACTIC INC.'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SITE EXCEED ONE HUNDRED DOLLARS ($100.00).

11. Indemnification

You agree to indemnify, defend, and hold harmless MATT RICE CHIROPRACTIC INC. and its officers, directors, employees, agents, affiliates, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from: (a) your use of the Site or Services; (b) your violation of these Terms; (c) your violation of any rights of a third party; or (d) any content you submit or transmit through the Site.

12. Governing Law

These Terms and any dispute arising out of or related to these Terms or the Site shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.

13. Dispute Resolution and Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by binding arbitration in California before one arbitrator. Judgment on the award may be entered in any court having jurisdiction.

CLASS ACTION WAIVER: YOU AND MATT RICE CHIROPRACTIC INC. AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

You may opt out of this arbitration agreement by sending written notice to MATT RICE CHIROPRACTIC INC. within 30 days of first accepting these Terms. Your notice must include your name, address, and a clear statement that you wish to opt out of the arbitration provision. 14. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the parties' original intent.

15. Entire Agreement

These Terms, together with any other legal notices and agreements published by MATT RICE CHIROPRACTIC INC., doing business as DYNAMI MOVEMENT THERAPY, on the Dynami Movement Site, constitute the entire agreement between you and MATT RICE CHIROPRACTIC INC. concerning your use of the Site. These Terms supersede all prior or contemporaneous communications and proposals, whether electronic, oral, or written, between you and MATT RICE CHIROPRACTIC INC..

16. Modifications to Terms

MATT RICE CHIROPRACTIC INC. reserves the right to modify these Terms at any time in its sole discretion. All changes are effective immediately when posted and apply to all access to and use of the Site thereafter.
